Resume the provision of Services to the Subscriber within 3 (three) days from the date of receipt of payment of the debt from the Subscriber or the submission by the Subscriber of documents confirming such payment, provided that the Agreement was not terminated unilaterally. 3.2. Umobile has the right: 3.2.1. Suspend the provision of Services to the Subscriber in case of violation by the latter of the current legislation of the Russian Federation and the terms of the subscription contract and Agreement. 3.2.2. Suspend the provision of Services if there is information about the Subscriber’s outstanding debt for the Services provided. If the Subscriber has several telephone numbers, the renewal of the provision of Services is carried out after repayment of the debt on all telephone numbers provided to the Subscriber, while the preservation of the previous telephone number(s) is not guaranteed. 3.2.3. Use a facsimile signature when signing any documents, including the Agreement. 3.2.4. Send information about the status of the Subscriber’s “electronic” account to the telephone number(s) transferred to the Subscriber, in accordance with the Terms of the Agreement. 3.2.5. Change the tariff plan unilaterally, notifying the Subscriber via SMS mailing and/or posting relevant information on the Umobile website. 3.2.6. In the absence of technical capabilities, Umobile has the right to limit the provision of additional services, including those provided directly by the Operator. 3.3. The subscriber undertakes: 3.3.1. Pay for Services on time. Failure to receive or refusal to receive invoices by the Subscriber does not relieve the Subscriber of payment obligations. 3.3.2. Provide the right to use a telephone number to other persons only on the basis of a power of attorney, duly executed in accordance with current legislation. The transfer of the right to use a telephone number does not relieve the Subscriber of responsibility for compliance with these Terms. 3.3.3. Provide Umobile with reliable data on bank details, registration address and/or place of residence (location), as well as other information used for the purposes of the Agreement and these Terms thereto. Notify Umobile in writing about changes in the Subscriber’s identification data within five calendar days from the date of such changes. If the Subscriber does not notify about the change in the specified data, all correspondence sent to the addresses specified in the Subscriber Agreement is considered delivered and handed over to the Subscriber, and Agreements with incorrectly specified details in this regard are considered valid. The subscriber is solely responsible for the timely provision of identification data. 3.3.4. Immediately notify Umobile if your SIM card is lost or stolen. 3.3.5. The Subscriber guarantees the prior consent of these persons for the processing of personal data. The Subscriber guarantees that the specified consent in form and content complies with the requirements of the legislation of the Russian Federation and was received for a period not less than the validity period of the Service Agreement. The subscriber is a legal entity and is independently responsible for violating the terms of this clause. 3.4 The subscriber has the right: 3.4.1. Change the list of additional Services and/or Tariff plan used. Changing additional Services and/or Tariff plan can be carried out in several ways: a) by calling the Subscriber to the Umobile subscriber service after passing identification b) in your personal account on the official Umobile website www.umobile.ru, c) using USSD commands; d) by sending an application to change the tariff by mail, e) by personally contacting the Umobile office. When changing additional Services and/or Tariff plan in one of the listed ways, the Parties unconditionally accept the fact that the Subscriber is familiar with the terms of additional Services and/or Tariff plan, understands all the terms of additional Services and/or Tariff plan, voluntarily accepts all the terms of additional Services and/or Tariff plan. In case of changing additional Services and/or Tariff plan, an additional agreement is not required. 3.4.2. Change the phone number you are using. Changing a telephone number can be carried out in several ways: a) by calling the Subscriber to the Umobile subscriber service after passing identification b) in your personal account on the official Umobile website www.umobile.ru, c) by sending an application to change the telephone number by mail, d) by personal contact to the Umobile office. When changing a telephone number using one of the listed methods, the Parties unconditionally accept the fact that the Subscriber is familiar with and agrees with the consequences of changing the telephone number. If you change your phone number, no additional agreement is required. 3.4.3. The Subscriber has the right, subject to the conditions specified by Umobile, to re-register the telephone number(s) free of charge to another individual/legal entity within the association of Subscribers created by Umobile under similar Agreements. 3.4.4. Upon application, suspend the consumption of Services for a period of up to 6 (six) months. After the specified period, the fee for not consuming the Services is 10 (ten) rubles per day. In case of non-payment, the Agreement is considered terminated without additional notification to the Subscriber; retention of the telephone number by the Subscriber is not guaranteed.

    4. Payment procedure 4.1. Depending on the Tariff plan chosen by the Subscriber, payments are made through advance and credit payments. 4.1.1. With an advance payment system: 4.1.1.1. Within 10 (ten) calendar days, the Subscriber makes an advance payment to an individual personal account. 4.1.1.2. If the funds paid by the Subscriber as an advance payment are exhausted, the provision of Services to the Subscriber is terminated, including interruption of the unfinished conversation. 4.1.1.3. Yumobile has the right not to terminate the provision of Services and to provide for some time the opportunity to use the Services if the amount is reduced below the zero value of the “electronic” account. In this case, the Subscriber undertakes to pay the debt incurred within the time limits provided for payment for the main Services. 4.1.1.4. Information about the status of the “Electronic” account is transmitted to Umobile by sending an SMS message to the telephone number(s) transferred to the Subscriber, at the Subscriber’s request to the number 05456, using the USSD dialing command *132*001# call . 4.1.1.5. Upon expiration of the reporting period, the Subscriber is issued a monthly invoice for the Services provided by Umobile. The amount payable by the Subscriber is expressed in Russian rubles, including VAT 20%. Each invoice is paid by the Subscriber no later than the 21st day of each month following the reporting period. 4.1.2.4. It is allowed to pay bills in an amount exceeding the total amount (prepayment). 4.1.2.5. At the same time, in order to avoid money laundering, the refund amount cannot exceed 5,000 (five thousand). 4.1.2.7. Upon written application by the Subscriber, in the event of termination of the Agreement at the initiative of the Subscriber and he has no debt for services provided by Umobile, the guarantee fees may be credited in favor of another Subscriber, subject to all the conditions for transferring telephone numbers to him. 4.1.2.8. If the Subscriber has several telephone numbers serviced by Yumobile, Yumobile has the right to write off the payment made by the Subscriber as payment for the Services provided on other telephone numbers, or disconnect all telephone numbers if the Subscriber violates the terms of the Agreement on at least one of the telephone numbers. 4.2. Yumobile has the right, at its discretion, to credit the payment towards the repayment of any previously incurred debt of the Subscriber. Yumobile has the right to distribute the received funds (including guarantee fees) to pay off the debt to all telephone numbers used by the Subscriber, regardless of whether they are specified in the Agreement. 4.3. Payment for Subscribers - legal entities is made by crediting funds to the Yumobile bank account. The day of payment is considered to be the date the funds are credited to the Yumobile current account. 4.4. The Subscriber undertakes to pay for the connected additional Services, provided that the connected additional Services are paid, Umobile services for changing the tariff plan, if the Tariff plan provides for payment for its change, as well as other paid services. 4.5. When calculating the cost of Services, the price excluding VAT is applied. At the end of the reporting period (month), Yumobile issues a Certificate of Services Rendered and an invoice to the Legal Entity Subscriber. The certificate of services rendered is signed by the Subscriber within 3 (three) days from the date of its receipt and sent to Umobile. 4.9. Services provided by Yumobile in each reporting month are considered duly performed and accepted by the Subscriber, unless written claims are presented to Yumobile on the last date of each reporting month. 4.10. The refund of funds paid by the Subscriber as an advance is carried out by Umobile only after termination of the Agreement within 30 (thirty) days from the written application of the Subscriber. In the event of an erroneous payment made by the Subscriber, the refund is made within 30 (thirty) days from the date of receipt by Umobile of the Subscriber’s written application. 4.11. In the cases specified in clause 4.10 of the Terms, refunds are made only by bank transfer, by transferring funds to the personal account of the telephone number specified by the Subscriber in the application. At the same time, in order to avoid the legalization of funds, the refund amount cannot exceed 5,000 (five thousand) rubles.

    5. Responsibility of the Parties. 5.1. Yumobile is liable to the Subscriber for non-fulfillment or improper fulfillment of obligations in the manner and amount specified by law and the Agreement. 5.2. The subscriber agrees to receive information on Umobile products/services, as well as to receive various types of advertising information and mailings. At the same time, Umobile is not responsible for the distribution of advertising through the use of mobile radiotelephone communications by Third Parties (advertising distributors). 5.3. In case of non-payment or incomplete payment by the Subscriber for the Services within the period specified in clause 4.1.2.3 of the Agreement, Yumobile has the right to suspend (block) the provision of Services by telephone number from the next day. Unblocking is carried out after the Subscriber has fully fulfilled his obligations. 5.4. In case of non-payment or incomplete payment by the Subscriber for the Services within 30 days from the date specified in clause 4.1.2.3 of the Terms, Yumobile has the right to collect from the Subscriber a penalty in the amount of 1% of the cost of unpaid, not paid in full Services for each day of delay, up to the day of repayment of the debt from the date of the invoice. 5.5. If the Subscriber fails to pay for the Services provided by Yumobile within 30 days from the date specified in clause 4.1.2.3 of the Agreement, Yumobile has the right to take measures provided for by law to collect from the Subscriber the amount of unfulfilled obligations, penalties and losses. Retention of the previous telephone number is not guaranteed. At the same time, the Agreement is considered terminated without Umobile sending additional written notice to the Subscriber. 5.6. In the event of loss, theft or other cases where the Subscriber does not have a SIM card, the Subscriber is responsible for paying for the Services provided associated with the use of this equipment, until Umobile receives written notice from the Subscriber about the suspension of the provision of Services. 5.7. The Subscriber is responsible for the actions/inactions of Third Parties who have access to telephone numbers, including when changing the Tariff Plan and/or connecting Additional Services. To protect a telephone number from unauthorized use by Third Parties, the Subscriber can set a code word (password) by contacting the Umobile Subscriber Service or personally visiting the Umobile office with an application. 5.8. Yumobile notifies the Subscriber of previously concluded Agreements with Yumobile by sending information to the Subscriber's email address specified in the contract for the provision of communication services. Yumobile is not responsible for failure to notify the Subscriber due to the latter’s failure to provide an email address. 5.9. Umobile is not responsible for the cases provided for in clause 9.2 of these Terms. 5.10. Services are provided to the Subscriber when he is in the Network service area. The Operator is responsible for the quality of mobile radiotelephone services in the Network service area. 5.11. The parties are not responsible for non-fulfillment or improper fulfillment of obligations due to force majeure (clause 3 of Article 401 of the Civil Code of the Russian Federation).

    6. Procedure and conditions for concluding, amending, terminating the Agreement: 6.1. The Agreement is concluded by signing the Agreement form by the Subscriber and Umobile or their authorized representatives, in two copies having equal legal force, one for each of the Parties. 6.2. Umobile has the right to refuse to conclude an Agreement and/or provide additional Services if there is no technical capability to provide the Services. 6.3. In accordance with Art. 426 of the Civil Code of the Russian Federation, Yumobile is a public organization, and therefore, Yumobile does not have the right to give preference to one person over another person with regard to concluding an Agreement, other terms of the Agreement cannot be established based on the advantages of individual consumers or giving them preference. Yumobile has the right to make changes to the terms of the Agreement by sending relevant proposals to the Subscriber, including by SMS messages or posting relevant information on the Yumobile website on the Internet, as well as in other ways. These changes will be the same and binding for all Subscribers. Umobile's failure to provide a complete or partial written refusal from the Subscriber within 15 (fifteen) calendar days from the date the Subscriber received the specified message or from the date the relevant information/publication was posted constitutes the Subscriber's consent to the changes made. If the Subscriber disagrees with the changes made, the Agreement is considered terminated from the moment the Subscriber sends a notice of disagreement with the changes made. 6.4. The Subscriber has the right to terminate the Agreement unilaterally in writing, notifying Umobile about this at least 30 calendar days before the expected date of termination and making all payments to Umobile. In this case, the Subscriber shall reimburse all expenses and losses incurred by Umobile. The obligation to pay for the Services provided and other expenses of Yumobile remains with the Subscriber until it is fully fulfilled, regardless of the moment of termination of the Agreement. 6.5. Upon termination of the Agreement, the fee for the Services provided is not refunded to the Subscriber. In this case, the equipment transferred to the Subscriber is not redeemed by Yumobile, and the cost of the equipment is not returned to the Subscriber. 6.6. If there are no incoming/outgoing calls or SMS messages at the telephone number provided to the Subscriber for more than 6 (six) months, Yumobile has the right to terminate the Agreement unilaterally without additional notice to the Subscriber. 6.7. Service for transferring a telephone number for service to a Third Party, incl. The Operator (hereinafter referred to as the Number Withdrawal) is paid and is provided after 2 (two) years from the date of commencement of the provision of Services to the Yumobile telephone number within the framework of the Agreement concluded between the parties. The number is withdrawn subject to the Subscriber repaying the debt to Umobile for already consumed Services based on the Subscriber’s application. The cost of the Number Output Service is 2,500 (two thousand five hundred) rubles for each number. If the withdrawal of a telephone number is carried out at the Subscriber’s request earlier than 2 (two) years from the date of commencement of the Services, the cost of withdrawal is 10,000 (ten thousand) rubles. The cost of displaying a telephone number classified as “beautiful” is determined in each individual case and depends on the beauty category of the number (Platinum, Gold, Silver). 6.8. Umobile provides assistance if the Subscriber changes his mobile radiotelephone operator. In the event of an independent change of mobile radiotelephone operator while maintaining the telephone number, the Subscriber is obliged to withdraw the telephone number from Umobile service in the manner and under the conditions specified in clause 6.7. of these Terms, as well as obtain all the necessary documents from Umobile.

    7. Duration of the Agreement. 7.1. The Agreement comes into force from the moment it is signed by the Parties and is valid for the duration of the Subscription Agreement. 7.2. If 30 (thirty) days before the expiration of the Agreement, neither Party has expressed a desire to terminate the Agreement, the term of the Agreement is automatically extended for each subsequent calendar year under the same conditions. The number of extensions is not limited.

    8. Procedure for resolving disputes. 8.1. All disputes and disagreements between the Parties arising from the Agreement shall be resolved by consideration of written claims of the Parties within 14 calendar days from the date of their receipt. Current issues are resolved by the Parties through negotiations. 8.2. If a Subscriber submits a Claim, a copy of the Agreement for the provision of communication services concluded with the Telecom Operator, as well as a copy of the Agreement, is attached to the claim. Without copies of the specified documents attached to the claim, the claim is not subject to consideration by Umobile. 8.3. In case of refusal to satisfy the claim, which also equates to a lack of response within the established period, or partial satisfaction of the claim, the dispute must be resolved in court at the location of Yumobile in accordance with the current legislation of the Russian Federation. When considering a dispute in court, the plaintiff has the right to demand the recovery of penalties and damages, even if he did not claim their recovery in the claim.

    9. Other conditions. 9.1. By signing the Agreement, the Subscriber agrees to the use of information about him in the information and reference service system, as well as to the processing of his personal data received by Umobile when concluding the Agreement. 9.2. In the case of using a telephone number to receive/transmit data, the data transfer speed at the physical level may be lower than declared and depends on the number of concurrently working end users, the category of the Subscriber Equipment, the ability of the Subscriber Equipment to support the HSPA mode, the tariff used, radio reception conditions, as well as regular restrictions on the maximum radiated signal power. 9.3. After the Agreement enters into force, the Subscriber is obliged to independently verify the compliance of telephone numbers and Tariff plans specified in the Agreement on the provision of communication services and immediately notify Umobile in case of discrepancy. 9.4. Services are provided to the Subscriber when he is in the Network service area. 9.5. By signing the Agreement, the Subscriber confirms that he has read and agrees to these Terms.
