By the end of 2021, MTS can transfer a significant part of its infrastructure into a separate company: mobile and fixed communication networks, switching equipment, as well as cloud business, including data, said the operator’s president Vyacheslav Nikolaev. MGTS will also be transferred to the new structure, he noted. Nikolaev did not say who will lead the new company.

The working name of the new structure is MTS Web Services (similar to Amazon Web Services), says one of the company’s employees. According to a person familiar with the company’s managers, traditional communication services, such as mobile telephony and Internet access, will be provided by the “big” MTS itself on the basis of the subsidiary’s infrastructure: “And the company will develop new digital services itself and offer them to external customers.” .

First of all, we can talk about services based on cloud technologies. “This will provide opportunities for the accelerated development and launch of mass services in the field of smart cities, cloud computing, unmanned transport, digital medicine, etc., MTS has the technological foundation for these tasks,” says Nikolaev. In his opinion, the reorganization will allow MTS to more effectively promote existing digital services (for example, cloud computing and data storage) and quickly bring new ones to the market: “I am convinced that the new company will develop at an accelerated pace due to the synergy of areas and simplification of corporate procedures.”

The total revenue of MTS in the first quarter of 2021 amounted to 123.9 billion rubles, as follows from the operator’s report. RUB 98 billion of which - revenue from mobile and fixed communications, it says. Against this background, income from cloud and other digital services for corporate clients, which MTS wants to move into a separate company, is not very large - 700 million rubles. For comparison: income from the sale of media content amounted to 600 million rubles, from fintech services, including 1.5 billion rubles. Also, MGTS’s revenue will flow into the new company (10 billion rubles for January – March 2021, or about 8% of MTS’s revenue).

A source familiar with the developers of the reorganization project believes that in this way MTS will solve several issues at once: “It is extremely difficult to develop and implement innovative products in a company focused on the mass market, there is a constant clash of business approaches - to make such products better on a separate site " Also, according to Vedomosti’s interlocutor, the separation of infrastructure business and new services will contribute to the growth of MTS’s capitalization: “Companies engaged in such developments are often quoted by investors as the largest digital companies; we can talk about an estimate of 15 EBITDA or more. Telecoms now have this multiplier of 4.” Finally, the transfer of new services to a separate company will allow them to be sold to other operators, explains Vedomosti’s interlocutor.

Over time, the infrastructure company may attract an investor, Raiffeisenbank analyst Sergei Libin does not rule out. He cites as an example, to which Rostelecom has been transferring its data centers since 2014; at the end of 2021, 44.8% of its shares were bought by VTB: “Infrastructure companies that operate antenna mast structures of operators are also common in the world, they also attract the attention of investors.” There are examples of transactions for the sale of tower infrastructure on the world market. Thus, in the spring of 2015, the Italian subsidiary of the Dutch Vimpelcom Ltd. (now Veon) – Wind Telecomunicazioni sold 90% of Galata, which owns 7,377 towers, for €693 million, meaning each was valued at approximately €104,300.

Sources close to it told Vedomosti that MTS has plans to transfer approximately 18,000 towers to a separate company in March of this year. “The main goal of the new company will be to create innovative products,” Nikolaev explained. “It’s not about infrastructure outsourcing in the classical sense.”

“Separation of the activities of a diversified company into separate legal entities is necessary to distribute risks, optimize management decisions and control activities,” says Yaroslav Shitsle, head of the legal department. “In addition, it is easier to attract investments for a dedicated legal entity with a narrow specialization.”

“On the one hand, the allocation of network infrastructure and new services can really make their development more efficient and decision-making in the company more efficient,” says Konstantin Ankilov, CEO of TMT Consulting. “But on the other hand, it is known that making strategic decisions in holdings – which is what MTS is gradually becoming – takes more time.”

“The emergence of an intermediary involved in the construction and operation of networks, as experience shows, leads to a slower response to the operator’s requests for the construction of new infrastructure facilities, modernization of existing ones, and elimination of accidents,” notes Telecom Daily CEO Denis Kuskov. “If the response time of the new company turns out to be critically long, MTS may abandon the project.”

As their business grows, other Russian telecommunications companies are also thinking about spinning out separate areas. “To develop promising areas in Rostelecom, separate digital clusters will be created, for example, data processing centers and cloud services, information security, digital medicine, etc.,” his representative lists.
